Dover Air Force Base is a United States Air Force base in Delaware. Gatekeeper Systems Inc. has recently received purchase orders or order confirmations to provide school bus intelligent video recording solutions in several school districts in Florida
School districts in the counties of Sumter, Marion, Hernando, Manatee, Sarasota and Alachua, have confirmed that they will purchase, install or retrofit video solutions on approximately 260 buses.
Gatekeeper’s Platform-as-a-Service (PaaS) business model is centered around its intelligent video recording devices that record, store, and wirelessly transmit video and audio from multiple devices. These digital video recorders also serve as the « black box » to aid in accident investigations. Customers can customize their configurations by choosing from the Company’s comprehensive product suite which includes:
Video Analytics Software - records time, location, audio, and video, enabling quick and easy assembly of video evidence needed to deal with school bus problems such as bullying, grazing, vaping, or verbal abuse.

Gatekeeper has exemplary financial statements: no debt, profitable (real net profits, no adjusted-EBITDA bullsh*t), a rapidly declining deficit, and controlled costs. During Q3 2020, they needed only $1.47M in operating expenses to net $1.22M. While sales are up 42% YoY, their operating expenses have not increased.
Their recurring revenues model is still new, but at the speed at which the company is closing new deals, I don’t expect this to be a problem in the near future.
Gatekeeper is basically a play in security and surveillanceーhighly relevant in 2020 and beyond.

GATEKEEPER ANNOUNCES $5 MILLION FINANCING AT $1 PER UNIT
Gatekeeper Systems Inc. intends to complete a non-brokered private placement of up to $5-million through the issuance of up to five million units at a price of $1 per unit.
The Company has received unsolicited interest for the entirety of the Financing, and does not anticipate any finders fees or commissions to be paid in connection with the Financing. The Company intends to use the proceeds of the Financing to fund growth initiatives and for general corporate purposes.
Each Unit in the Financing will consist of one common share of the Company and one common share purchase warrant (each, a « Warrant »), with each Warrant entitling the holder to acquire one additional common share at a price of $1.10 for a period of twenty-four (24) months from the date of closing. Should the stock price trade over $1.35 per share for a period of ten consecutive trading days, the Company will have the right to accelerate the expiry of the Warrants by providing notice to the holders of the Warrants by news release that the Warrants will expire on the date that is not less than 30 days from the date the notice is provided.
All securities issued in connection with the Financing will be subject to a four month hold period under applicable Canadian securities laws. The closing of the Financing is subject to acceptance of the TSX Venture Exchange.

Pourquoi payer une premium aussi grosse plutôt qu’acheter sur le marché?
dans tous les cas je suis heureux mais bon si quelqu’un aurait une idée.

Acheter 5 millions d’actions dans le marché aurait peut-être fait monter le prix à 1$ de toute façon (et/ou ça aurait pu être assez long à acheter). De plus, le financement vient avec des warrants à 1,10$ pour 2 ans, ce qui est assez intéressant pour quelqu’un qui croit un potential à moyen/long terme. Finalement, le ou les investisseurs préféraient probablement que leur argent aille dans les coffres de la compagnie pour financer le croissance plutôt que d’acheter les actions de d’autres investisseurs dans le marché.
