On April 19, 2023, B2Gold acquired all of the issued and outstanding shares of Sabina by way of a court approved plan of arrangement (the “Plan of Arrangement”) under Section 288 of the Business Corporations Act (British Columbia) (the “Act”) pursuant to the terms and conditions of an arrangement agreement dated February 12, 2023 (the “Arrangement Agreement”) among
